Organizational Governance Initiatives
Performance management based on the medium-term management plan and annual budget as target values
As a member of the Nippon Light Metal Group, we and our subsidiaries share the Nippon
Light metal Group Management Policy and Group Compliance Code. With this in mind, we manage performance
using the medium-term management plan and annual budget as target values based on the group management
policy and our own company policy.
We also use the Nippon Light Metal Group internal audit framework
to conduct audits on the effectiveness and validity of our own and subsidiaries' business activities,
making improvements when necessary.
Definition of internal control regulations and operating procedures related to financial statements
We have established internal control regulations and operating procedures for the specific formulation and use of internal controls related to financial statements. Also, the Internal Control Oversight Office is helmed by the CEO, who monitors and evaluates the status of control related to financial statements and implements corrective measures when necessary to ensure reliability in financial reporting.
Regular monitoring of asset acquisition, use, and disposal
We have established regulations regarding the division of duties and decision-making
authority to ensure that acquisition, use, and disposal of assets are handled and approved through the
proper channels. Implementation is also monitored regularly by an auditor and the Nippon Light Metal
Supervision Office.
We have also joined the Nippon Light Metal Group risk management system based on
the Group Risk Management Regulations and established the in-house Risk Management Committee, which
works to detect and mitigate risks at an early stage and preserve assets.
Legal Compliance Initiatives
As a member of the Nippon Light Metal Group, Nikkei Panel System views legal compliance as the foundation of CSR and a promise to retain the trust of all stakeholders. Nikkei Panel System and affiliate companies work hard to ensure that the Group Compliance Code of the Nippon Light Metal Group and the Nikkei Panel Mission Statement are followed by all executives and employees as specific codes of conduct.
Regular compliance meetings
Nikkei Panel System holds regular compliance meetings. They are conducted individually at each work site in consideration of participant occupations, positions, and age ranges, and have their own unique theme each time. The themes cover a variety of topics including the workplace environment, protecting personal information, information leaks, traffic safety, handling industrial waste, work rules, etc. We aim not only to abide by laws, regulations, and social norms, but also to practice honest and fair business activities through such endeavors.
Whistleblower program
The Nikkei Hotline is available as a whistleblower program for compliance violations at
the Nippon Light Metal Group. It is available to all employees, and connects to various dedicated lines
such as outside law offices and sexual harassment hotlines. Employees can also make reports (consult)
anonymously, and a handbook on how to use the system is distributed to all and is posted to the intranet
so that it is readily available.
All reports are handled in a way to avoid disadvantaging the
whistleblower, and are shared with the Compliance Committee. Incidents that should be shared with the
Nippon Light Metal Group for educational purposes are posted to the intranet as examples and used as
compliance meeting tools.
Procurement in consideration of CSR
As a member of the Nippon Light Metal Group, Nikkei Panel System abides by the Nippon Light metal CSR policy, engaging in procurement activities with clients in consideration of CSR, including legal compliance, respect for human rights, conservation of the environment, product and service safety, etc.
Fair and just procurement
Nikkei Panel System searches for clients in Japan and around the world that offer competitive quality, prices, delivery times, a stable supply, and service, and share our CSR philosophy. We also work to build a mutually beneficial partnership based on transactions where both parties have equal footing, with clients selected fairly through free competition. We strive to always leave the door open for new clients and provide the requisite information.
Exclusion of antisocial forces
Nikkei Panel System refuses to work with antisocial forces. To ensure that we are not involved with illegal activities or antisocial forces, we always strive to act with a fundamental understanding of the law, social norms, a sense of justice, and common sense. Not only do we refuse to work with antisocial forces, but we respond to unjust demands firmly and do not resolve problems by monetary means.
Internal awareness of procurement compliance
Nikkei Panel System engages in procurement in line with laws, regulations, and norms. Furthermore, an in-house training system that offers regular courses and seminars on related laws as part of efforts to educate employees about procurement compliance.
Educational activities at the Nippon Light Metal Group procurement managers' conference
Each year, the Nippon Light Metal Group holds a procurement managers' conference for
managers from all group companies where the CSR procurement policy and philosophy are shared.
At the
conference, a seminar on the Act against Delay in Payment of Subcontract Proceeds, etc. to
Subcontractors is also held. The basics of the act are covered along with case studies as part of
efforts to train group company personnel.
Reports on raw material and aluminum base metal market
trends are also given at the conference to help minimize group market risks.
Environmentally-conscious procurement
Nikkei Panel System constantly reevaluates the entire supply chain from raw materials to transportation so that we can achieve our mission statement of enriching lives and creating a more vibrant planet. All of our products are CFC free as part of efforts to prevent global warming and protect the ozone layer.
Act against Delay in Payment of Subcontract Proceeds, etc. to Subcontractors initiatives
In transactions where the supplier is a client, Nikkei Panel
System recognizes the risk of using our position as the buyer to force unfair conditions on
the supplier (abusing a superior bargaining position), and charges the procurement division
with eliminating such risk.
One area that the Nippon Light Metal Group focuses on
compliance with in particular is Act against Delay in Payment of Subcontract Proceeds, etc.
to Subcontractors (Subcontractor Act). Seminars at the procurement managers' conference,
individual consultations, and case studies are used to educate procurement managers.
Communication with clients
Procurement managers make sure to communicate with clients.
We
plan on continuing to directly visit our clients, sharing Nikkei Panel System CSR activities
and our philosophy to the extent that we can exercise influence over the supply chain.
